By accessing our website, using our products (including CareSi, HeyDoc, and CairBOX), or engaging with our services, you agree to comply with and be bound by these Terms.

If you do not agree to these Terms, please do not use our services. We reserve the right to modify these Terms at any time, with changes becoming effective upon posting on our website.

Smartan Innovations provides AI-powered hardware and software solutions, including:

• CareSi: AI-powered smartwatch for dementia care and health monitoring
• HeyDoc: Connected telemedicine hub with medical devices for remote healthcare
• CairBOX: Smart container monitoring system for cargo protection
• Website Services: Information, product updates, and user account management
• Support Services: Customer support, technical assistance, and product documentation

Our services may be updated, modified, or discontinued at our discretion.

3. User Accounts and Registration

To access certain features of our services, you may need to create an account. You agree to:

• You are responsible for the accuracy of any health information you provide
• We are not liable for any medical decisions made based on our device data

6. Intellectual Property Rights

All content, features, and functionality of our services, including but not limited to:

• Software, algorithms, and source code
• Product designs, trademarks, and logos
• Documentation, manuals, and user guides

are owned by Smartan Innovations or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works without our express written permission.

8. Payment Terms

• Payment is due at the time of purchase

• Late payments may result in service suspension

• Your violation of these Terms
• Your misuse of our services
• Your infringement of intellectual property rights
• Any third-party claims related to your use of our services

12. Termination

Either party may terminate this agreement at any time. We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination:

• Your right to use our services ceases immediately
• We may delete your account and data
• Outstanding payment obligations remain due
• Sections 6, 9, 10, 11, 13, and 14 survive termination

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Sri Lanka, without regard to conflict of law principles.

Any disputes arising from these Terms shall be resolved through:

1. Good faith negotiation between the parties
2. Mediation if negotiation fails
3. Court proceedings in Sri Lanka if mediation fails

14. Miscellaneous Provisions

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding our services.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any affiliate or successor.

Force Majeure

We shall not be liable for any delay or failure in performance due to causes beyond our reasonable control, including acts of God, war, terrorism, or natural disasters.
